Please read these terms carefully before using CareCob services.

Terms & Conditions

Terms of Service governing the use of the CareCob platform and AI companion "Grace," operated by Zynex Technologies Pty Ltd.

It defines the rights, responsibilities, and legal compliance framework for all CareCob users in Australia.

Introduction

Welcome to CareCob, a product of Zynex Technologies Pty Ltd ("CareCob"). CareCob provides an AI-powered companion platform ("Grace") designed to assist users with wellbeing reminders, emotional support, and daily care communication. By accessing or using our Services, you agree to these Terms of Service ("Terms"), our Privacy Policy, and any other referenced policies. If you do not agree, you must not use CareCob.

Definitions

Service – CareCob platform, applications, Grace (AI voice companion), and related software or support services. User / You – any individual or organisation using the Service. Caregiver – a user authorised to manage or receive updates for another person. Account – your registered profile created to access CareCob. Content – all data, text, or information you provide through CareCob.

Eligibility

You must be at least 13 years old to use CareCob. Users under 18 must have parent or guardian consent and supervision. CareCob is not intended for unsupervised use by minors.

Service Scope and Nature

CareCob and its AI persona Grace are non-medical support tools. They do not replace professional medical advice, diagnosis, or treatment. The Service is designed for daily wellbeing check-ins, reminders, companionship, caregiver coordination, and facility/aged-care engagement (for B2B clients). We may modify, suspend, or discontinue any part of the Service at any time.

Account Registration & Security

You must provide accurate details, keep credentials secure, and notify us immediately of any unauthorised use. You are responsible for all activity under your account.

Acceptable Use

Use CareCob lawfully and do not: • Engage in illegal or fraudulent activity. • Interfere with or disrupt the Service. • Reverse-engineer or copy software. • Collect user data without consent. • Upload offensive or defamatory content. Violations may lead to suspension or termination.

Fees, Payments, and Subscriptions

Carecob offers an initial free plan, followed by paid plans based on the user's selection. All fees are charged in AUD and are inclusive of GST. Subscriptions are billed on a monthly basis and will automatically recharge once 90% of the allocated usage is consumed. In the event of non-payment, the service may be suspended. As this is a prepaid service, no refunds will be provided. Users may cancel their subscription at any time directly from their dashboard, with the cancellation taking effect from the next billing cycle. Support & Service Levels

Standard Support: Mon–Fri 8:30 am – 5:30 pm AEST. After-Hours: critical issues by email. Downtime credits may be provided at our discretion. We aim for high availability but cannot guarantee uninterrupted service.

Privacy & Data Handling

CareCob complies with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). Personal and sensitive data are securely stored within Australia (or in APP 8-compliant regions). Voice interactions may be recorded with consent to improve service. You retain ownership of your data but license CareCob to use it for personalisation and analytics. Information Collected includes: • Audio recordings or transcripts of AI conversations • Basic user information (name, contact, preferences) • Health-related observations discussed during calls • Usage and engagement data for quality improvement Use of Data: • To enable AI-based conversations and improve companionship • To identify wellbeing or health concerns and alert authorised caretakers • To enhance app accuracy and safety • Never sold or shared with third parties for marketing By using CareCob, you provide consent to the collection, storage, and processing of data in accordance with this policy. Consent may be withdrawn at any time through in-app privacy settings.

Data Security

We use TLS 1.3 encryption in transit and AES-256 encryption at rest, plus MFA and audit logging. Regular vulnerability testing is conducted. CareCob employs AES-256 encryption for stored data, TLS 1.3 for data in transit, and role-based access controls. While we maintain industry standards, no system is 100% secure.

Intellectual Property

All IP in CareCob and Grace remains with Zynex Technologies Pty Ltd. You receive a non-transferable, revocable licence for personal use only.

User Content and Responsibilities

You own your uploaded content but grant CareCob a worldwide, royalty-free licence to use it to operate and improve services. You must ensure your content is lawful and shared only with proper consent.

Caregiver and Facility Use

Caregivers must have consent of the person they assist. Facilities must ensure staff follow privacy and care laws in Australia.

Disclaimers

CareCob and Grace are provided "as is" and "as available." We make no warranties of any kind. CareCob is not a medical device and does not replace professional care.

Liability Limitation

To the maximum extent permitted by law, Zynex Technologies' liability is limited to the amount paid for the Service in the previous 3 months or AUD $100, whichever is greater.

Indemnity

You agree to indemnify and hold harmless Zynex Technologies, its directors, and employees against losses arising from your breach or misuse of the Service.

Modifications and Updates

We may update these Terms periodically and will notify you 30 days in advance of significant changes.

Termination

We may suspend or terminate your account for breach or non-payment. Data will be handled in accordance with our Privacy Policy.

Governing Law and Dispute Resolution

These Terms are governed by the laws of Victoria, Australia. Disputes shall be resolved under the exclusive jurisdiction of Victorian courts.

Force Majeure

Neither party is liable for delays caused by events beyond reasonable control, including natural disasters or government actions.

Third-Party Links and Services

CareCob may integrate third-party APIs or sites; their terms apply independently. We are not responsible for external content or data practices.

Communications & Notifications

By registering, you consent to receive updates via email, SMS, or voice. You can opt out any time by replying STOP or emailing support@carecob.com.au.

Assignment

You may not transfer rights under this Agreement without our consent. Zynex Technologies may assign its rights to a successor entity.

Severability

If any provision is held invalid, the remaining sections remain in full force.

Entire Agreement

These Terms, with the Privacy Policy and any service-specific addenda, form the entire agreement between you and Zynex Technologies.
